Terms of Sale & Software License

1. Scope

These terms apply to the purchase and use of the software instrument "SATORI" (the "Software") sold on this website by FOLKS Inc., a company registered in Japan ("we", "us"). By completing a purchase you agree to these terms.

2. Seller and payment

Payments are processed by our reseller and Merchant of Record, Paddle.com Market Ltd. (UK) or its affiliates. Paddle issues your receipt, and applicable sales tax or VAT is calculated at checkout based on your country or region. The Paddle Checkout Buyer Terms also apply to your order.

3. What you buy and how it is delivered

You purchase a license (a serial number) to use the Software. The price is US$99 excluding tax; tax is shown at checkout.
After payment, your serial number and download instructions are e-mailed automatically to the address used at checkout, normally within minutes. If nothing arrives, check your spam folder and contact support@folks-instruments.com.
The installer is the same as the full product and can be downloaded free of charge. A 7-day trial lets you test every feature before buying.

4. License

The license is granted to the purchasing individual or company and may be used on any number of computers that the licensee owns or controls.
You may not transfer, lend, publish or resell the serial number, modify or reverse-engineer the Software, or circumvent its copy protection.
Music and audio you create with the Software are yours to use for any purpose, commercial or not. We claim no rights in your work.
All copyright and other intellectual-property rights in the Software remain with FOLKS Inc.

5. Updates and support

Updates to the Software are provided free of charge (the treatment of future major versions may be announced separately). Support is available at support@folks-instruments.com. System requirements: macOS 12 or later (Apple Silicon and Intel), an AU/VST3-compatible host or the standalone app.

6. Refunds

Because the 7-day trial lets you verify the Software before purchase, refunds after a serial number has been issued are not offered as a rule. However, if the Software fails to work on a system that meets the requirements and our support cannot resolve the problem, we will refund the purchase within 14 days of the order. Refunds are processed by Paddle, and refund requests made under Paddle's Buyer Terms are honored. When a refund is issued, the corresponding serial number is deactivated.

7. Disclaimer and limitation of liability

The Software is provided "as is". To the extent permitted by law, we are not liable for indirect or consequential damages arising from the use of, or inability to use, the Software, and our total liability is limited to the amount you paid. Nothing in these terms limits rights that consumers have under mandatory law in their country of residence.

8. Governing law

These terms are governed by the laws of Japan. Disputes shall be subject to the exclusive jurisdiction of the Sapporo District Court as the court of first instance, without prejudice to mandatory consumer-protection rules.
